1. Definitions
In these Terms & Conditions, the following definitions shall apply:
“CET Training” means Maria Mulder Karadimou / CET Training, established in the Netherlands, registered under the Dutch Chamber of Commerce (KvK) number 80088511 and operating via www.cet-training.com.
“Client” means any natural person or legal entity entering into an Agreement with CET Training.
“Consumer” means a Client who is a natural person acting outside the scope of a professional or business activity.
“Participant” means the individual who attends the Training.
“Training” means any course, program, or workshop provided by CET Training, including but not limited to Certified Treasury Professional (CTP) and Certified Corporate Financial Planning & Analysis Professional (FPAC) preparation programs.
“Bundle Package” means the CTP or FPAC Exam Prep Course consisting of one (1) year access to the relevant AFP Exam Prep Platform, registration for the relevant AFP Exam, and one year membership to AFP.
“AFP” means the Association for Financial Professionals, an independent third-party certification body.
“Agreement” means any agreement between CET Training and the Client relating to the provision of services.
“Distance Agreement” means an Agreement concluded exclusively using one or more means of distance communication, such as electronic communication (e-mail or the website).
“Price” means the total amount payable by the Client for the Bundle Package and the training fees for the Training provided by CET Training, inclusive of VAT where applicable.
2. Applicability
These Terms & Conditions apply to all offers, services, and Agreements entered into by CET Training. Any general terms and conditions used by the Client are expressly rejected unless explicitly accepted in writing by CET Training. Deviations from these Terms & Conditions shall only be valid if agreed in writing. If any provision of these Terms & Conditions is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
3. Formation of the Agreement
All offers made by CET Training are non-binding and subject to change. An Agreement shall be deemed concluded at the moment CET Training confirms the Client’s registration in writing or issues an invoice. CET Training reserves the right to refuse any registration or participation without providing reasons.
4. Right of Withdrawal (Consumers Only)
If the Client is a Consumer and the Agreement is a Distance Agreement, the Consumer has the right to withdraw from the Agreement within fourteen (14) calendar days of concluding the Agreement, without giving any reason. To exercise this right, the Consumer must notify CET Training in writing (by e-mail to the address stated on www.cet-training.com) before the withdrawal period has expired.
The right of withdrawal does not apply if the Consumer has expressly requested CET Training to begin performance of the services before the withdrawal period has expired and has acknowledged that the right of withdrawal will be lost once the Agreement has been fully performed.
The right of withdrawal does not apply to the Bundle Package once CET Training has registered the Participant with AFP or has otherwise incurred AFP-related costs on behalf of the Client. CET Training will inform the Consumer clearly before registration takes place.
If a Consumer validly withdraws before AFP registration has occurred, CET Training shall refund all payments received within fourteen (14) days of receiving the withdrawal notice.
5. Delivery of Services
CET Training shall provide the Training either onsite, including but not limited to Amsterdam, or online, as agreed between the parties. CET Training reserves the right to make reasonable changes to the content, structure, schedule, trainers, or location of the Training if such changes are necessary for operational, organizational, or quality reasons. CET Training further reserves the right to cancel or reschedule a Training in the event of insufficient participation or in circumstances beyond its reasonable control.
6. CET Training Fees and Bundle Package
The Client purchases a service from CET Training, consisting of Training services provided by CET Training and AFP-related services included in the Bundle Package. CET Training purchases and provides AFP-related services in its own name and for its own account as part of this service. The Client acknowledges that AFP services form an integral and inseparable part of the Bundle Package and that CET Training incurs costs for such services on behalf of the Client.
Once CET Training has registered a Participant with AFP, which constitutes the point at which AFP-related costs are irrevocably incurred, the fees for the Bundle Package shall be deemed irrevocably delivered and cannot be cancelled, refunded, or transferred. CET Training shall not be liable for the performance, availability, or functionality of AFP services, including but not limited to examinations, certification processes, digital platforms, or membership services. AFP services are subject to AFP’s own terms and conditions. CET Training does not guarantee certification, exam success, or any specific outcome.
7. Data Protection and Data Sharing
CET Training processes personal data of the Client and Participants in accordance with the General Data Protection Regulation (EU) 2016/679 (“GDPR”).
Personal data is collected and processed for the purposes of performing the Agreement, registering Participants for AFP certification programs, providing access to training materials and platforms, administering participation in the Training and the Bundle Package, and complying with legal and contractual obligations.
The processing of personal data is based on the following legal grounds: performance of the Agreement (Article 6(1)(b) GDPR), compliance with legal obligations (Article 6(1)(c) GDPR), legitimate interests of CET Training (Article 6(1)(f) GDPR), including efficient training administration, and, where required, the explicit consent of the Client or Participant (Article 6(1)(a) GDPR).
In order to facilitate participation in AFP-related services, CET Training will share relevant personal data with the Association for Financial Professionals (AFP). Such data may include, but is not limited to, name, email address, employer details, and training participation information.
AFP is established outside the European Economic Area. By entering into the Agreement, the Client acknowledges and agrees that personal data may be transferred to a country that may not provide the same level of data protection as the European Union.
CET Training shall take appropriate safeguards for such transfers in accordance with GDPR, including reliance on Standard Contractual Clauses (SCCs) approved by the European Commission or other legally recognized transfer mechanisms.
To the extent required under applicable law, the Client explicitly consents to the transfer of personal data to AFP for the purposes described above.
AFP processes personal data in accordance with its own privacy policies. CET Training shall not be responsible or liable for the processing of personal data by AFP.
8. Price and Payment
The Price is stated inclusive of VAT where VAT is applicable. Where the Training qualifies as an exempt educational service under Dutch VAT law, no VAT will be charged on the training component. Any VAT applicable to materials or other components will be stated separately on the invoice.
The Client shall pay a single total Price to CET Training for the Bundle Package and the training fees for the Training provided by CET Training. CET Training will remit to AFP the applicable fees for the Bundle Package for each CTP or FPAC Exam Prep Course participant.
Unless otherwise agreed in writing, payment must be made within fourteen (14) days from the invoice date. CET Training reserves the right to require full or partial payment in advance. If the Client fails to make payment within the agreed term, the Client shall be in default without further notice. CET Training shall be entitled to suspend participation in the Training until full payment has been received and reserves the right to delay registration with AFP until full payment has been received.
Additional AFP fees apply as follows:
• Individual candidates are subject to additional fees for re-registrations and no-shows, currently USD 250 and USD 100 respectively.
• Candidates must adhere to final deadlines to register for a testing window. Details and current fees are available under the Deadlines and Fees section of the relevant AFP certification website.
If the Client requests or requires registration with AFP prior to full payment, all AFP-related costs shall become immediately due and payable and shall remain non-refundable.
9. Cancellation by the Client
Cancellation must be made in writing (by e-mail). The cancellation fees below apply to the Training services component of the Price only.
• More than thirty (30) days before the start date: 10% of the Training services Price.
• Between thirty (30) and fourteen (14) days before the start date: 50% of the Training services Price.
• Less than fourteen (14) days before the start date: 100% of the Training services Price.
The Bundle Package fees are strictly non-refundable once CET Training has registered the Participant with AFP. This is the single trigger point for non-refundability of AFP-related costs. If CET Training has incurred AFP-related costs prior to full payment by the Client, the Client shall remain fully liable for such costs and shall reimburse CET Training upon first demand.
For Consumers exercising their right of withdrawal under Article 4, the withdrawal provisions of Article 4 shall apply instead of the cancellation fees above, to the extent permitted by law.
10. Cancellation or Rescheduling by CET Training
CET Training reserves the right to cancel or reschedule a Training. In the event of cancellation by CET Training, the Client shall be entitled to a refund of the portion of the Price relating solely to the Training services provided by CET Training. CET Training shall not be liable for any indirect or consequential damages, including but not limited to travel costs, accommodation costs, or loss of business.
11. Liability
CET Training’s liability shall be limited to direct damages only. The total liability of CET Training shall in all cases be limited to the amount paid by the Client under the Agreement. CET Training shall not be liable for any indirect damages, including but not limited to loss of profit, loss of revenue, business interruption, or reputational damage. CET Training shall further not be liable for any damages arising from AFP services or examination outcomes. These limitations shall not apply in cases of gross negligence or willful misconduct.
The statutory rights of Consumers under applicable mandatory Dutch law are not affected by this limitation of liability.
12. Intellectual Property
All intellectual property rights relating to Training materials, content, and documentation remain the exclusive property of CET Training or its licensors. The Client and Participant are granted a limited, non-transferable right to use such materials solely for personal educational purposes. It is strictly prohibited to reproduce, distribute, or commercially exploit such materials without prior written consent.
13. Force Majeure
CET Training shall not be liable for any failure or delay in the performance of its obligations if such failure or delay is caused by events beyond its reasonable control, including but not limited to illness, technical failures, strikes, pandemics, or governmental restrictions.
14. Confidentiality and Data Security
CET Training and all personnel engaged by CET Training shall treat all personal data and confidential information relating to the Client and Participants as strictly confidential, in accordance with the GDPR.
CET Training will collect AFP-defined biographical information about each Participant in the CTP or FPAC Exam Preparation Course and submit such information to AFP in accordance with CET Training’s contractual obligations towards AFP and as described in Article 7.
Except for disclosures to AFP as described in Article 7, CET Training shall not disclose personal data or confidential information to third parties without prior written consent of the Client, unless such disclosure is required by law or by a competent authority.
CET Training shall implement appropriate technical and organizational measures to ensure a level of security appropriate to the risk, in accordance with Article 32 GDPR, including protection against unauthorized or unlawful processing and against accidental loss, destruction, or damage.
Personal data shall not be retained longer than necessary for the purposes described in Article 7, unless a longer retention period is required by law.
The Client and Participants have the rights provided under the GDPR, including the right to request access to, rectification or erasure of their personal data, as well as the right to object to or restrict certain processing activities.
Requests relating to personal data may be submitted to CET Training via the contact details published on www.cet-training.com.
CET Training shall not be liable for any data breach, data loss, or other data protection incident occurring within the systems, platforms, or services of the Association for Financial Professionals (AFP), provided that CET Training has complied with its obligations under the GDPR with respect to the transfer of personal data. The Client acknowledges that, once personal data has been shared with AFP in accordance with Article 7, AFP acts as an independent controller responsible for its own data processing and security measures.
15. Governing Law and Dispute Resolution
These Terms & Conditions and any Agreement shall be governed by and construed in accordance with the laws of the Netherlands.
If the Client is a Consumer, disputes arising out of or in connection with the Agreement shall be adressed through mutual consultation. If no resolution is reached, disputes maybe submitted to the competent court in the Netherlands.
For Clients who are not Consumers, any disputes shall be submitted exclusively to the competent court in the Netherlands.
16. No Waiver
Failure by CET Training to enforce any provision of these Terms & Conditions shall not be construed as a waiver of any rights. Any waiver must be explicitly made in writing.
17. Entire Agreement
These Terms & Conditions, together with any written Agreement between CET Training and the Client, constitute the entire agreement between the parties and supersede all prior agreements, communications, or understandings.
